The shares of Poonawalla Fincorp Limited were trading flat at ₹382.45 on the NSE today at 10.55 am.
Poonawalla Fincorp Limited has approved the issuance of non-convertible debentures (NCDs) worth ₹1,875 crore through private placement, as disclosed in a regulatory filing on April 15, 2025.
The company informed the stock exchanges that its Finance Committee authorized the issuance of secured, redeemable, rated, listed NCDs with a face value of ₹1,00,000 each.
The NCD issuance will be structured in two series – PFL NCD Series ‘A1’ worth ₹1,160 crore and PFL NCD Series ‘A2’ valued at ₹215 crore, with an additional green shoe option of ₹500 crore. The company plans to list these debentures on the BSE Limited.
According to the filing, the debentures will be secured by a first ranking pari passu charge on hypothecated properties, providing the required security cover until the redemption date. The company has also specified that in case of payment delays exceeding three months, it would pay an additional coupon of 2 per cent above the applicable rate until the default is resolved.
